Terms of Service

1. Who we are and what this agreement is

Payani.ai is operated by Payani Media LLC, a California limited liability company doing business as Payani.ai. In these terms, "we," "us," and "Payani" mean Payani Media LLC. "You" means the person or business using the service.

These terms are a contract between you and us. By creating an account, starting a free trial, or using Payani.ai, you agree to them. If you are signing up on behalf of a business, you confirm you have the authority to accept these terms for that business.

Three other documents are part of this agreement:

• The Acceptable Use Policy, which sets the rules for what you can send and generate
• The Refund and Cancellation Policy
• The Privacy Policy, which explains how we handle personal information

If you do not agree to all of them, do not use Payani.ai.

2. What Payani.ai does

Payani.ai is a marketing platform. Depending on your plan and what you turn on, it can include:

• A CRM for contacts, companies, and deals
• Email campaigns and one to one email, sent from your own verified sending domain
• AI generation of images, video, audio, and written content
• AI search visibility auditing of your website, and applying fixes and publishing articles to a website you connect
• Publishing posts to social accounts you connect, where that integration is available to you
• A tracking script that records visitor activity and form submissions from your website into your CRM
• Booking pages that connect to your calendar
• An AI chat widget for your website

We add, change, and remove features over time. We aim to keep the service running, but we do not promise uninterrupted availability and there is no uptime guarantee on any plan.

Some integrations are limited. Availability of any third party integration depends on that provider's approval and can change. Nothing in these terms, on our website, or in our marketing is a promise that a particular integration will be available to you.

3. Your account

You must be at least 18 years old and using Payani.ai for business purposes. Payani.ai is not for personal or household use and is not directed at children.

Keep your login details secure. You are responsible for everything that happens in your account, including anything done by people you invite. Tell us at support@payani.ai if you think someone has accessed your account without permission.

Seats. A seat is one person with their own login. Starter includes 1 seat, Pro includes 3, and Business includes 10. Extra seats are $20 per month each, or $16 per month each on annual billing. Sharing one login between multiple people is a breach of these terms.

Workspaces. Your data lives in a workspace tied to your organization. Everyone you invite can see the data in it, subject to their role. Choose who you invite carefully.

4. Free trial

The trial runs 14 days, requires no credit card, and includes 750 AI credits, 1 seat, unlimited contacts, and every core feature of the platform. Enterprise controls such as single sign on, sub accounts, and white labelling are not included.

During the trial you can send 500 emails in total, not 500 per month. This is an anti abuse measure.

One trial per business. Creating extra accounts to get repeated trials is a breach of these terms and we may close them.

When the trial ends. If you have not started a paid plan, your account moves to a limited state. Your data is not deleted. You keep your account and can subscribe at any time to restore full access. In the limited state, email sending is capped at 500 per month and paid AI features are unavailable.

We do not offer a permanent free plan. The limited state exists so you do not lose your work, not as a tier to stay on.

5. Plans and pricing

All prices are in US dollars. Annual billing saves 20 percent.

Enterprise plans are agreed separately in writing. Where an Enterprise order form conflicts with these terms, the order form wins.

6. Billing and payment

Payments are handled by Stripe. We do not see or store your full card number.

When you are charged. Paid plans are charged in advance, on the day you subscribe and on the same day each period afterwards.

Automatic renewal. Your subscription renews automatically until you cancel. Cancel any time in your billing settings.

Failed payments. If a payment fails we will retry. If it keeps failing we may suspend your account until it is paid. We do not delete data during a payment suspension.

Taxes. Prices exclude sales tax, VAT, and other taxes. Where we must collect tax it is added to your invoice.

Price changes. We may change prices with at least 30 days notice, effective from your next renewal. If you do not want the new price, cancel before it takes effect.

Auto reload. If you turn on credit auto reload, you authorise us to charge your saved card automatically whenever your credit balance falls below the threshold you set. This is a recurring charge and continues until you turn it off. Auto reload is off unless you switch it on.

7. AI credits

Credits pay for AI work only: generating images, video, and audio, drafting and editing content, auditing your website and applying fixes, writing articles, meeting preparation briefs, the daily brief, and enrichment.

Sending email does not cost credits. Storing contacts does not cost credits.

Unused credits roll over. The credits included with your plan are added to your balance at the start of each billing period, on top of whatever you have left. If your plan includes 2,000 credits and you have 500 remaining, you start the next period with 2,500.

Credits you buy and credits included with your plan are one balance. There is no separate pool and no different treatment between them.

We may introduce a rollover limit in future. If we do, we will give you at least 30 days notice, and any credits you have purchased separately will not be affected.

Top up packs. 2,500 credits for $35, 7,500 for $95, or 20,000 for $240.

Credits have no cash value. They cannot be exchanged for money, transferred to another account, or refunded, except where the law requires otherwise.

When AI work fails. You are never charged for work that fails. Most AI actions are only charged once the work succeeds. For the few that are charged when the job starts, such as image, video, and audio generation, the credits are returned to your balance automatically if the job fails.

Charges recorded after the work. Where a charge is applied after the work runs and your balance cannot cover it, the shortfall is recorded against your account. Until it is cleared, you can still use your CRM, send email, and read everything in your workspace, but you cannot start new paid AI work. Adding credits clears it automatically.

When credits run out. AI features stop until you add credits, turn on auto reload, or your next monthly allowance arrives. The rest of the platform keeps working.

On cancellation. Unused credits are forfeited when your subscription ends. They are not refunded and do not carry over.

8. Unlimited contacts, unlimited email, and the sending limits that protect them

There is no per contact fee on any plan, ever. There is no per email fee on any plan.

There is a monthly sending ceiling on every plan. It exists for one reason: email deliverability is shared. Everyone sends through the same infrastructure, so one customer sending badly damages inbox placement for every other customer. These ceilings are an anti abuse and deliverability measure. They are not a pricing tier and we do not use them to push you into a higher plan.

The period runs on your billing cycle, not the calendar month. It resets on your renewal date.

We warn you in the platform when you reach 80 percent of your ceiling. At 100 percent we stop new sends and tell you when the limit resets. A campaign already sending is allowed to finish.

Single campaigns are capped at 200,000 recipients as a safety measure, even where your ceiling is higher.

If you need more, ask. Email support@payani.ai. We raise ceilings for legitimate use.

9. Your content and who owns it

You own your content. Your contacts, companies, deals, emails, uploaded files, brand materials, and website content are yours.

The permission you give us. To run the service we need permission to store, copy, process, transmit, and display your content. You give us that permission for exactly that purpose and nothing else. We do not use your content to train AI models, and we do not sell it or share it for advertising.

Our AI providers are separate companies with their own terms. Most are contractually barred from training on anything we send them. One is not, and it is used only for video and audio generation. The Subprocessors page names each provider and its actual position so you can decide which features to use.

We may use aggregated, de identified statistics about how the platform is used across all accounts to improve Payani.ai. This never includes your content or anything identifying you or your contacts.

You are responsible for your content. You confirm you have the right to use every contact record you upload, that you have a lawful basis to contact those people, and that your content does not infringe anyone's rights or break any law.

Feedback. Product suggestions you send us can be used freely without obligation to you.

10. AI features and what we do not promise about them

Payani.ai uses AI from third party providers. The current list is on our Subprocessors page.

AI output can be wrong. Inaccurate, out of date, biased, or invented. Review everything before you send it, publish it, or rely on it. This matters most for anything with legal, medical, financial, or safety consequences.

We do not promise AI output is original. AI can produce text or images similar to existing work. We cannot guarantee AI output does not infringe anyone's copyright or trademark, and we do not defend or indemnify you if it does.

You own the output. As between you and us, AI output generated for you belongs to you, subject to the terms of the provider that produced it. We claim no ownership.

Providers can change. We may switch AI providers or models at any time. Output quality may change as a result.

11. Email sent through Payani.ai

You are the sender. Email goes out from your own verified sending domain, in your name, to your list. Legally you are the sender and you are responsible for complying with anti spam law, including the CAN-SPAM Act in the United States and the equivalent elsewhere.

What you must do:

• Only email people who agreed to hear from you, or with whom you have a genuine existing business relationship
• Include a working unsubscribe link in every marketing email
• Include a valid physical postal address in every marketing email
• Honour unsubscribe requests promptly
• Never use a false or misleading sender name or subject line

Suppression. When someone unsubscribes, bounces, or reports your email as spam, we stop sending to them. You cannot override this.

Tracking. We record opens and clicks and attach that activity to the contact record. Where privacy law requires you to give notice or get consent for this, that is your responsibility with your own contacts.

Prohibited sending is covered in the Acceptable Use Policy. Purchased lists, scraped lists, and cold blasting are banned and we suspend for them without waiting.

12. Connecting your website

Read this section. It is the part of the service that acts on property you own.

If you connect a website repository through our GitHub App, you are giving Payani.ai permission to write files to that repository. Your website host will normally deploy those changes automatically, which means they appear on your live website.

The permissions the app requests are: read and write repository contents, read repository metadata, read and write pull requests, read commit statuses, and read checks. The last two exist only so we can tell you whether your site finished building.

There are two different things we do, and they are not the same

1. Publishing content, which you start. When you press publish on an article or a content change, we commit it. Nothing is published without you pressing the button.

2. AI search visibility fixes, which run automatically. When you run an AI search visibility audit, the service can apply technical fixes to your live repository without asking you again for each one. This is the only part of Payani.ai that changes your property without a separate decision from you each time.

What automatic fixes can change, and nothing else:

• llms.txt
• Structured data, meaning JSON-LD schema markup
• Meta descriptions
• Open Graph tags
• robots.txt
• Head blocks
• Sitemap files

What automatic fixes will not touch: your application code, your page components, your layout files, your business logic, or your content. Where a fix would require editing application code, we do not make the change and we give you the code to paste in yourself.

Turning it off. You can use review mode so that fixes open as a pull request for you to approve instead of committing directly. You can disconnect the GitHub App at any time from your GitHub account settings, which immediately stops everything.

What you are agreeing to

• You own the website and repository, or have permission from whoever does, to allow automated changes
• You are responsible for reviewing changes where a review option is available
• We are not liable for anything that goes wrong with your website as a result, including a broken build, downtime, lost traffic, lost revenue, search ranking changes, or unwanted content appearing publicly
• If your website is business critical, use review mode

13. Website tracking and the chat widget

If you install our tracking script or chat widget on your website, they collect information about your visitors, including page views, form submissions, IP address, and chat messages, and record it into your CRM.

This is your data collection, not ours. You decide to collect it. You are responsible for:

• Having a privacy policy on your website that discloses this collection
• Getting consent where the law requires it, including cookie consent in the EU and UK
• Responding to requests from your visitors about their data

We process this information for you, as described in the Privacy Policy. We do not use it for our own purposes.

14. Accounts you connect

You can connect third party accounts, including Google and LinkedIn. When you do:

• You give us permission to act on that account in the ways the connection describes
• Your use of that third party service is governed by their terms, not ours
• We are not responsible for what those services do, whether they stay available, or whether they change their rules
• You can disconnect at any time

Available integrations change as providers grant or withdraw approval.

15. Data you must not put into Payani.ai

Payani.ai is not built for sensitive regulated data and we do not hold the certifications or contracts that handling it would require. Do not upload, store, or send through Payani.ai:

• Protected health information covered by HIPAA. Payani.ai is not a HIPAA compliant service. We are not a Business Associate, we do not sign Business Associate Agreements, and we cannot become one for you. If you run a medical, dental, or aesthetic practice, you may store ordinary business contact details such as name, email address, and phone number. Do not store diagnoses, treatments, procedures performed, clinical notes, medical images, prescription details, insurance information, or anything else linking a person to their health care.
• Payment card numbers, security codes, or bank account details
• Social security numbers, passport numbers, driver's licence numbers, or other government identifiers
• Biometric data
• Precise geolocation of individuals
• Information about children under 16
• Criminal history, or protected information about someone's race, religion, sexual life, or political views

If you put this data in anyway, you do so at your own risk and are responsible for the consequences. We may remove it or suspend your account.

16. What you must not do

The full rules are in the Acceptable Use Policy, which is part of this agreement. In summary, do not:

• Send unsolicited bulk email, or email purchased, rented, or scraped lists
• Use AI generation to create illegal, harmful, deceptive, or infringing content
• Impersonate anyone, or misrepresent who an email is from
• Break into, overload, probe, or interfere with the platform
• Copy, reverse engineer, or resell the platform
• Work around any limit, ceiling, or metering
• Use the platform to build a competing product

The last two do not apply to Enterprise customers with a written white label or reseller agreement, who may resell access to their own clients on the terms of that agreement.

17. Suspension

We may suspend or limit your account if:

• You break these terms or the Acceptable Use Policy
• Your sending is generating spam complaints or bounces at a rate that risks deliverability for other customers
• Your payment has failed and stayed unpaid
• We are required to by law
• There is a security or fraud problem

Where reasonable we will warn you first. Where email deliverability, platform security, or legal compliance is at immediate risk, we suspend first and explain afterwards. That is the only way to protect everyone else sending on the platform.

18. Our intellectual property

We own Payani.ai: the software, design, documentation, name, and logo. These terms let you use the service while you pay for it and give you no ownership of anything of ours.

You may not use our name or logo publicly without permission, except to state factually that you use Payani.ai.

19. Confidentiality

Each of us may learn confidential information about the other. Both agree to protect it, use it only for this agreement, and not share it, unless the law requires disclosure. This does not cover information that is already public, that the receiving party already knew, or that they work out independently.

20. No warranties

Payani.ai is provided "as is" and "as available."

To the maximum extent the law allows, we make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the service will be uninterrupted, error free, or secure, or that it will produce any particular result.

We make no promise about results. AI search visibility scores, email deliverability, lead volume, search rankings, and social reach depend on many factors outside our control.

21. Limitation of liability

To the maximum extent the law allows:

Neither of us is liable for indirect damages. Lost profits, lost revenue, lost data, lost business opportunity, loss of goodwill, or any consequential, special, incidental, or punitive damages, even if warned they were possible.

Our total liability is capped at the amount you actually paid us in the 12 months before the event giving rise to the claim. If you are on a free trial and have paid nothing, our total liability is $100.

These limits apply however the claim is framed, in contract, negligence, or otherwise.

Some states do not allow some of these exclusions. Where yours does not, they apply only as far as the law allows.

22. Indemnification

You will defend us and cover our costs, including reasonable legal fees, for any claim arising from:

• Your content, including contact data and anything you generate or publish
• Your email sending, including any anti spam claim
• Changes made to your website through the service
• Your breach of these terms or the Acceptable Use Policy
• Your breach of any law, including privacy and anti spam law

We will tell you promptly about any such claim, let you control the defence, and cooperate reasonably.

23. Cancelling, and what happens to your data

Cancel any time in your billing settings. No phone call, no retention conversation.

Cancellation takes effect at the end of your current billing period and you keep full access until then. Full detail is in the Refund and Cancellation Policy, which is part of this agreement.

Your data after cancellation:

1. Your account closes and you can no longer use the platform
2. For 30 days, your data is kept and reactivating restores everything
3. After 30 days, we permanently delete it, and that cannot be undone

Save anything you need before you cancel. Full account export is not available yet. Individual articles can be downloaded, and if you need a copy of your data before closing your account, email support@payani.ai and we will help.

Some records survive deletion because we are required to keep them, including billing and tax records and anything needed to defend a legal claim. Backups are overwritten on our normal cycle, so data may persist in backups briefly after deletion.

We can also end this agreement, with 30 days notice for convenience, or immediately for serious breach. If we end it for convenience we refund unused prepaid subscription fees.

24. Changes to these terms

We may update these terms. If a change materially affects your rights we will tell you by email or in the platform at least 30 days before it takes effect. Continued use after that means you accept them. If you do not, cancel before they take effect.

For minor changes such as typos or clarifications, we update the date at the top without notifying you.

25. Governing law and disputes

These terms are governed by the laws of the State of California, ignoring conflict of law rules.

Any dispute goes to the state or federal courts in San Francisco County, California, and both of us agree those courts have exclusive jurisdiction.

Before filing anything, email support@payani.ai and give us 30 days to resolve it.

26. Other terms

The whole agreement. These terms, the Acceptable Use Policy, the Refund and Cancellation Policy, the Privacy Policy, and any Enterprise order form are the entire agreement and replace anything said before.

No waiver by silence. Not enforcing something immediately does not give up the right to enforce it later.

Severability. If part of this is unenforceable, the rest still applies and the unenforceable part is narrowed to what a court allows.

Assignment. You cannot transfer this agreement without our written permission. We can transfer it in a merger, acquisition, or sale of the business.

No partnership. This does not make us partners, joint venturers, agents, or employees of each other.

Events outside our control. Neither of us is liable for failures caused by events beyond reasonable control, including outages at our hosting, email, or AI providers, natural disasters, war, or government action.

Notices. We send notices to the email on your account. Send notices to us at support@payani.ai or to the address below.
